Executive Summary
Introducing Dorton America LLC (DORTON), a new and innovative concept for the real estate, finance and
construction industries. Dorton America, an umbrella company created to manage and operate Dorton Steel
Fabricators, Dorton Financial and Dorton America Holdings, is preparing to launch the most aggressive and
complete investment, development, finance and manufacturing company in the state of Florida and perhaps in
North America.

The state of Florida is expanding at an alarming rate. With interest rates relatively low and plenty of land
available, real estate sales in Florida reached a historical high in 2005. Many apartment complexes in urban,
already developed areas were converted into condominiums, leaving a large current market for multi-family
apartment rentals. Also, with over 145 major lenders going under since late 2006, foreclosures at a nationwide
record high, and commercial sales coming to a near hold, it is the perfect time for a new investment concept to
come to surface and create valuable solutions to these increasing problems.

To mention one sector in particular, if Florida continues to grow at its current rate, one third will be covered in
roads, homes and businesses and the population will double to about 36 million by mid-century. An investment
company with access to internal information, experience and expertise in real estate investment and finance
markets is a company that will become very successful in a very short period of time.

During the past decade, founder Milton Santiago has researched, developed and prepared the company to be able
to purchase and manage commercial real estate throughout the state of Florida, followed by other selected cities
around the nation.

DORTON will be a fully integrated and self-managed real estate Investment Company specializing in the
acquisition, ownership and management of primarily high-quality, income producing real estate located in Puerto
Rico, the state of Florida, and soon in major US markets. The properties will be leased primarily to high credit,
quality tenants. Major markets will include: major Florida cities and Washington D.C., Greater Los Angeles, the
New York Metropolitan Area, Boston and Chicago.

DORTON is aggressively seeking a wide spectrum of opportunities ranging from stabilized core assets to value
added candidates where our experienced team of professionals will tackle a multitude of challenges including
distressed and foreclosed property acquisitions, renovations, and vacancy expansions. In addition to our existing
property acquisition programs, DORTON is selectively searching for land acquisition, whether it is a single parcel
or surplus property that is near or in the path of growth.

Dorton America is based in Miramar, Florida and our subsidiaries and affiliated companies are:

Dorton Steel Fabricators, a structural steel contractor and construction-related custom fabricating firm that will
provide unlimited and cost-effective support with property maintenance, upgrades, construction and expansions.
The company was originally founded under the name of Bayamon Metal Work in the Commonwealth of Puerto
Rico in 1967.

For over 35 years, Bayamon Metal provided structural steel and custom metal fabrication services to
Metropolitan Builders, Rexach Construction, Owens Illinois, ConAgra Mills, Goya Foods, Puerto Rican Cement
Company, Ponce Cement, among many other very reputable companies. In 1998, the company expanded its
services to the state of Florida and incorporated as Dorton Industries Corp. In December 2007, Dorton
Industries Corp; was liquidated to satisfy disputes among family members and Dorton America LLC was created
with a conversion to a new limited liability company.

Dorton Financial will provide unlimited real estate, residential and commercial mortgage services and
information required and crucial for investment analysis, mortgaging, sales and operations. This company will
operate as a correspondent mortgage lender and principal broker for net branches throughout the state of
Florida and will create a revenue source in itself. The company will also provide business finance services
nationwide.

Dorton America Holdings LLC has been created to hold title to one of our initial multi-family apartment building
investments. In addition to managing the property portfolio and construction cost estimations, it will be involved
with research and development, project and asset management, architecture and engineering.

Our current management team consists of:

Milton Santiago, Managing Manager of Dorton America LLC and principal broker for Dorton Financial, age 49,
married with one child. Milton is a business manager with over 30 years of combined experience in business
management. In addition, Milton possesses over 25 years experience in structural steel and general metal
fabrication. Milton is a licensed Florida commercial and residential Realtor and private investor since 1994,
licensed commercial mortgage broker, community association manager, income producing property manager,
investment analyst, and business and investment broker.

Gabriel Guzman, VP Sales & Marketing for Dorton America, and Operations Manager for Dorton America
Holdings LLC, is a professional with 15 years of experience in international sales. Gabriel is a private real estate
investor and property manager since 2003. Gabriel was a project manager for the construction of two
manufacturing plants in Colombia.

Jose Rodriguez, Chief Engineer for Dorton Steel Fabricators, holds a masters degree in industrial engineering,
an MBA from Interamerican University in Puerto Rico, and has over 20 years of experience in construction
management.

Lawrence Spiegel and Natalia Utrera, attorneys at law, are our current corporate resident agents and general
counselors.

Other management positions will include: management of business and financial occupations, construction
managers, cost estimators, architecture and engineering, real estate sales and mortgage professionals, insurance
and office administrative support, bookkeeping, accounting and auditing clerks, and first line
supervisors/managers of construction and manufacturing trades.

We have a simple but aggressive strategy for implementation and expansion. We are professionals in the fields
of real estate contract negotiations, finance and structural steel contracting and we believe that, with the proper
financial support, our company can and will become very successful in a very short period of time.

We are currently seeking equity capital in the amount of 20 million dollars. Only
5.0 million will be required
during start-up. The initial 4.2 million will cover the cost of purchasing one multi-unit industrial warehouse
complex; two multi-unit residential apartment buildings, and other expenses associated with the opening of our
business. These proposed initial real estate investments will posses equity in excess of the entire start-up cost.   
The additional 15.
0 million will be an investment fund and will be utilized to purchase additional income
producing properties and to move the company into other regions.

This venture has the capabilities to start at much larger scale in all areas, however, we are confident with the
suggested start-up plan and budgets. Start-up costs are to be financed by direct investment in the form of equity
capital.

We are prepared to inject to this new limited liability company $680,000 of prime residential real estate equity,
state licensing in real estate, engineering, mortgages and property management, DORTON trademark,
DORTON  products registered trade names, customer client list dating back to 1967, vendors list, $127,000 of
unsecured line of credit, $50,000 in shop and mobile equipment, 25 years experience in custom metal fabrication
and industrial services and 14 years experience in real estate and mortgages, 15 years experience in
international sales and 20 years experience in construction project engineering.
